1. General Terms of Use

Accounts

To use our services, you need an account on the TeIM platform. You are responsible for all activities associated with your account and you should keep the password safe all the time. If you find out or suspect that someone else is logging into your account, notify us through our contacts.
You need an account for most activities on our platform, including enrolling in courses and creating courses as a tutor. You should provide accurate information when creating an account including a working email address. You have complete control and responsibility for your account and everything that happens on your account, including for any harm or damage caused to us or anyone else caused by someone using your account without your permission. You must not transfer your account to someone else or use another’s account. If you contact us to request access to an account, we will not grant you such access unless you can provide us with the information that we need to prove you are the owner of that account. In the case where a user dies, the account of that user will be disabled.
You must not share your account login details with anyone else. You are responsible for what happens with your account and we will not be involved or be held responsible in disputes between students or tutors who have shared account login credentials. You must immediately notify us upon suspecting that someone else may be using your account without your permission- or if you suspect any other breach of security in the system. At times we may request some information from you to ascertain that you are indeed the real owner of your account.
Students and instructors must be 18 years of age and above to create an account on TeIM and use the Services.
If we discover that you have created an account that violates these rules, we will terminate your account.  You can terminate your account at any time. 


License to Access Content

When you enroll in a course, you get a license from us to view it as part of the Services TeIM offers and no any other use. Do not try to transfer or resell the content in any way. We generally grant you an all-time-lifetime access license, except when we must disable the content because of legal or policy reasons. Under our Tutor’s Terms, when tutors create content on our platform, they grant us a license to offer a license to the content to enrolled learners. This means that we have the right to sublicense the content to enrolled students. As a student, when you enroll in a course whether it is free or paid, you are getting a license from us to view the content via our platform and services, and we are the licensor. Content is licensed, and not sold, to you and according to this license. You do not have the right to resell the content in any manner- including by sharing account information or illegally downloading the content and sharing it in other sites or any other form of sharing.  
TeIM grants you, as an enrolled learner, a limited, non-exclusive, non-transferable license to access and view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with the particular content or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any content unless we give you explicit permission to do so in a written agreement signed by a TeIM authorized representative.
We generally give an all-time-lifetime access license to enrolled learners for a particular course. However, we reserve the right to revoke any right to access and use any content at any point in time in the event where the content of a course has to be disabled due to legal or policy reasons, for example, if the course or other content you enrolled in is based on copyright violation, or if we determine it violates other terms and guidelines. The all-time-life time is to the course content and not to the tutors as they can decide not to offer further assistance regarding a particular course.
Tutors may not grant licenses to their content to students directly, and any such direct license shall be null and void and a violation of these Terms.


Payments and Refunds

When you make a payment, you agree to use a valid payment method. If you are not satisfied with the content you have paid for, you can request a refund within 7 days from the time of purchase.
You agree to pay the fees for the course that you purchase, and you authorize us to charge your debit or credit card or process other means of for those fees. TeIM works with payment service providers to offer you the most convenient payment methods and to keep your payment information secure. We may update your payment methods using the information provided by our payment service providers. Check out our Privacy Policy for more details.
When you make a purchase, you agree to use a valid or authorized payment method. If your payment method fails and you still get access to the content you are enrolling in, you agree to pay us the corresponding fees within thirty 30 days of notification from us. We reserve the right to disable access to any content for which we have not received full payment.


Pricing of content

We give consent to the tutors to price their content according to the tutor’s terms.
The price applicable to the content will be the price at the time you complete your purchase of the content.


Refund

If the content you purchased is below your expectation or is not satisfactory or you aren’t happy about it, you can request, within 10 days of your purchase of the content, that we apply a refund to your account. No refund is due to you if you request it after the 10-day guarantee time limit has passed. However, if the content you previously purchased is disabled for legal or policy reasons, you are entitled to a refund beyond this 10-day limit. We reserve the right to refund students beyond the 10-day limit in cases of suspected or confirmed account fraud associated with the tutor or their account.
If we believe you are abusing our refund policy, such as, if you have previously refunded similar content, we reserve the right to deny your refund, restrict you from other future refunds, ban your account, `
We are not in a position to determine the legality of content or the correctness of the content published on our platform. We are not in a position to edit any content that is published on our platform and, as such, we do not guarantee in any manner the reliability, validity, accuracy, or truthfulness of the content. If you access content, you rely on any information provided by a tutor at your own risk.
By using the services, you may be exposed to content that you consider offensive, indecent, or objectionable. TeIM has no responsibility to keep such content from you and no liability for your access or enrollment in any course, to the extent permissible under applicable law. You accept full responsibility for the choices you make before, during, and after your access to the course.
When you interact directly with other learners or a tutor, you must be careful about the types of personal information that you share. While we restrict the types of information tutors may request from learners or information they see about their learners, we do not control what students and instructors do with the information they obtain from other users on the platform. You should not share your email or other personal information about yourself.
We do not hire or employ tutors nor are we responsible or liable for any interactions involved between tutors and learners. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of tutors or learners.
When you use our services, you may find links to other websites that we do not own or control. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information about you. You should also read their terms and conditions and privacy policies.
 

Risk of Use

No one is restricted to use TeIM to create and publish content. We also enable tutors and learners to interact for educational purposes involving training and learning. Some things can go wrong, and you use TeIM at your own risk.

We are not in a position to determine the legality of content or the correctness of the content published in our platform. We are not in a position to edit any content that is published on our platform and, as such, we do not guarantee in any manner the reliability, validity, accuracy, or truthfulness of the content. If you access content, you rely on any information provided by the tutor at your own risk.

By using the services, you may be exposed to content that you consider offensive, indecent, or objectionable. TeIM's Rights

We own the TeIM platform and Services, including the website, future apps and services, logos, code, and content created by our service providers. You should not interfere with those or use them without permission. Our platforms and services are protected by copyright, trademark, and other pertinent laws. Nothing gives you authority to use the TeIM name or any of the TeIM’s trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding our services or the Services is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

 You must not, while accessing or using our services, access, tamper with, or use non-public areas of the platform (including content storage), TeIM’s computer systems, or the technical delivery systems of TeIM’s service providers. 

You must not, while accessing or using our services, disable, interfere with, or try to destroy any of the features of the platforms related to security or investigate, scan, or test the vulnerability of any of our systems. 

You must not, while accessing or using our services, copy, change, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of or content on the TeIM platform or services. 

You must not, while accessing or using our services, access or search or attempt to access or search our platform by any means other than through our currently available search functionalities that are provided via our website. You may not scrape, spider, use a robot, or use other automated means of any kind to access the Services. 

You must not, while accessing or using our services, in any way use the Services to send altered, deceptive, or false source-identifying information (such as sending email communications falsely appearing as TeIM); or interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the platforms or services, or in any other manner interfering with or creating an undue burden on the services.

Disclaimer

The Services and their content are provided on an “as is” and “as available” basis. TeIM and its affiliates, suppliers, partners, and agents, make no representations or warranties about the suitability, reliability, availability, timeliness, security, lack of errors, or accuracy of the Services or their content, and expressly disclaim any warranties or conditions (express or implied), including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. TeIM and its affiliates, suppliers, partners, and agents, make no warranty that you will obtain specific results from use of the Services. Your use of the Services (including any content) is entirely at your own risk. 

We may decide to cease making available certain features of the Services at any time and for any reason. Under no circumstances will we and our affiliates, suppliers, partners or agents be held liable for any damages due to such interruptions or lack of availability of such features.

We are not responsible for delay or failure of our performance of any of the Services caused by events beyond our reasonable control, like an act of war, hostility, or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions.

User Indemnification Obligation

If you behave in a way that gets us in legal trouble, we may exercise legal recourse against you. You agree to indemnify, defend (if we so request), and hold harmless TeIM,  partners, and agents from an against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from: the content you post or submit, your use of the Services, your violation of these Terms, or your violation of any rights of a third party. Your indemnification obligation will survive the termination of these Terms and your use of the Services.

Legal Notices and Actions

No action, regardless of form, arising out of or relating to this Agreement may be brought by either party more than one year after the cause of action has accrued, except where this limitation cannot be imposed by law.

Any notice or other communication to be given hereunder will be in writing and given by email.  

Relationship Between We (TeIM) and You (user)

You and we agree that no joint venture, partnership, employment, contract, or agency relationship exists between us.

Terms Changes and Updates

From time to time, we may update these Terms to clarify our practices and/or to reflect new or change in practices- such as when we add new features, and We reserve the right in its sole discretion to modify and/or make changes to these Terms and Conditions at any time. If we make any material change, we will notify you using prominent means, such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of our Services after changes become effective shall mean that you impliedly by action accept those changes. Any revised Terms shall entirely replace all previous Terms and Conditions.


2. Tutor's Terms

Tutor Account

To be in a position to create courses, tutors need to have an account. In our platform, an account is acquired through an application process. You agree to provide information that is true during the application. If noted that the information was untrue during the time of application, the account will be treated to have been acquired through fraudulent means which will result in a ban on the account. 

Types of courses

In the TeIM platform, course creation can take two (2) forms: Video courses or Interactive Courses. Video Courses are those that are formed through pre-recorded videos sequentially arranged to form a full course. When adding a video, a tutor can add a description to the video which is a summary of what the learner expects. Interactive course types allow the trainer to add text paragraphs, formulas, arithmetic operations, embed videos from YouTube or recorded videos, embed images, and links to create a course.  Courses are organized in sections and a tutor may decide to include an assessment/ quiz at the end of each section.

Tutor Payment

Tutors with active courses will be paid per enrolment. Full enrolment is deemed complete after the refund period lapses.  Tutors need to have an account where their share will be sent. Payment will be done after  10 days when the refund duration lapses. Tutors will get 60% of the total price they set for their course. TeIM has absolute authority to vary this share according to prevailing conditions affecting the same. However, we guarantee that the share will be based on fare criteria. The share may vary due to costs incurred for example increased investment in course advertisements and changes in taxes.  We will use varied means such as emails to communicate to tutors when a change in share is expected 28 days before the changes take effect.

Purchase Through Referral Codes

Where a learner enrolls in a course through a referral code, the tutor will be entitled to 90% of the price of their course for that enrollment. Only referrals recorded by the system will be considered. TeIM has absolute authority to vary this share according to prevailing conditions affecting the same. However, we guarantee that the share will be based on fare criteria. The share may vary due to costs incurred for example increased investment in course advertisements and changes in taxes.  We will use varied means such as emails to communicate to tutors when a change in share is expected 28 days before the changes take effect.

Fraudulent Accounts

Accounts acquired through false information or misrepresentation in any manner will result in the banning of the account and the associated content. A tutor with a banned account cannot claim any payment after the ban. 

Copyright Violation

You agree that the content you upload to our platform does not violate any copyright. Content fragged to have copyright issues will result in action against the violation. This could be through the deletion of the copyrighted content and would possibly lead to the ban of an account.  

Video Requirements

Any recorded video added during the creation of either video or interactive course needs to meet the standard requirements. The following are the standard requirements;

Quality of video The resolution should be at a minimum of 720p. This will ensure that learners will be able to see what is being illustrated or taught.   
Quality of the voice- The voice quality should be normal, and audible enough.
Language of the trainer- The language used should be a universal language, e.g., English.
Full Course Policy- The course should be a full course with a clear objective, course outline, and description.
The general state of the course- The consistency of the course. This may include, the relationship between course details and the uploaded videos.
Illustration- The trainer should be able to explain concepts properly. The illustrative means should be clear.

Banning of a Tutor Account

A tutor account can be banned in the circumstances where;

It is established that a tutor acquired an account through misrepresentation.
The content uploaded to their account is subject to copyright infringement.
Misleading content/ Content that violates our terms.

Courses one cannot create

Courses for minors. TeIM is strictly a platform for use by individuals of age 18 and above. A tutor cannot post content targeting users at junior and secondary levels.
Courses that promote discrimination in any way. This could be gender discrimination, racial discrimination, ethnic discrimination, religious discrimination, and any other form of discrimination.
Courses that discuss cracking programs.
Courses that train on unethical hacking.
Courses that violate government regulations.
Courses that in any way promote crime. 
Courses that promote immorality and indecent behavior.
